1. Introduction
Welcome to Instya.com ("Instya", "we", "us", or "our"). Instya operates a specialized search platform that enables visitors to discover alternative e-commerce sites and digital marketplaces (“Service”). By accessing or using Instya, you agree to abide by the following Terms of Service ("Terms"). If you do not agree, you must not use the Service.
2. Acceptance of the Terms
These Terms form a legally binding contract between you and Instya. By browsing, querying, or otherwise interacting with the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
3. Eligibility
You must be at least 16 years old—or the age of majority in your jurisdiction, whichever is higher—to use Instya. By using the Service, you represent and warrant that you meet this requirement and that you have full authority to enter into and comply with these Terms.
4. Description of the Service
Instya indexes publicly available information to suggest comparable online stores, brands, or marketplaces based on user supplied queries. Instya is not an online marketplace, does not host product listings, and does not process payments or orders. All purchases or engagements with third party sites are undertaken at your own risk and are governed by those sites’ own terms and policies.
5. Accounts and Credentials
Instya currently allows casual, non-authenticated use. If we introduce optional user accounts in the future, additional terms governing registration, credentials, and account security will apply. Until then, do not attempt to create or automate login mechanisms that are not officially provided.
6. Permitted and Prohibited Conduct
You agree to use the Service solely for lawful purposes and in a manner consistent with these Terms. Without limitation, you must not:
- Reverse engineer, scrape, or crawl the Service except as permitted by applicable law.
- Deploy automated scripts or bots that generate unreasonable load on our infrastructure.
- Use the Service to disseminate malware, spam, defamatory, or fraudulent content.
- Violate any export restrictions, trade sanctions, or applicable e-commerce regulations.
- Falsely imply affiliation with Instya or misrepresent search results as endorsements.
7. Intellectual Property
All content, software, algorithms, and interface elements on Instya are either owned by or licensed to Instya and are protected under intellectual property laws. We grant you a limited, non-exclusive, revocable, and non-transferable license to access and use the Service for personal or internal business purposes. All rights not expressly granted are reserved.
8. Third Party Content and Links
Instya’s core function is to reference external websites. We do not monitor, control, or endorse—and are not responsible for—the accuracy, safety, or legality of third party content or practices. Clicking external links is entirely at your discretion. Your dealings with third party sites are solely between you and the third party.
9. No Endorsement or Affiliation
Listings on Instya are generated via automated relevance metrics and community signals. Presence or ranking of a website on Instya does not constitute our endorsement, sponsorship, recommendation, or affiliation with that website, its owners, or their products.
10. Beta Features
From time to time we may expose experimental or “beta” features. Such features are provided “as is,” may be discontinued without notice, and may be subject to additional terms. Your feedback is voluntary and may be used by Instya without restriction.
11. Disclaimer of Warranties
Instya provides the Service “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties—express, implied, statutory, or otherwise—including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that search results will be complete, current, or accurate.
12. Limitation of Liability
To the fullest extent permitted by law, Instya, its directors, employees, partners, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, goodwill, data, or business interruption) arising from or related to your use of—or inability to use—the Service, even if we have been advised of the possibility of such damages. In any event, our aggregate liability will not exceed one hundred U.S. dollars (US $100) or the amount you paid us (if any) in the last twelve months, whichever is greater.
13. Indemnification
You agree to defend, indemnify, and hold harmless Instya and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your (i) use of the Service, (ii) violation of these Terms, or (iii) infringement of any intellectual property or other right of any person or entity.
14. Term and Termination
These Terms remain in effect until terminated. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to our interests or the interests of other users. Upon termination, your right to use the Service ceases immediately.
15. Modifications to the Service and Terms
Instya is an evolving platform. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We may also update these Terms periodically. Material changes will be posted on this page with a revised "Last updated" date. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You and Instya agree to submit to the exclusive jurisdiction of the provincial and federal courts located in Toronto, Ontario, Canada, for any dispute arising out of these Terms or the Service.
17. International Use
Instya’s servers may be located in multiple jurisdictions. Accessing the Service from territories where its content or functionality is illegal is prohibited. You are responsible for compliance with local laws.
18. Severability
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
19. Entire Agreement
These Terms constitute the entire agreement between you and Instya with respect to the Service and supersede any prior agreements or understandings, whether written or oral.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
